Chevron Corp. (NYSE: CVX) agreed to buy Noble Energy Inc. for about $5 billion in shares as the oil giant looks to beef up amid the wreckage of the worst-ever crude crash. The takeover is the industry’s first major deal since the coronavirus triggered a severe slump and the largest since Occidental Petroleum Corp. outbid Chevron to acquire Anadarko Petroleum Corp. for $37 billion last year. The deal will grow Chevron’s shale presence in both the Permian Basin, once the main driver of the U.S. shale boom but now experiencing a sharp reduction in drilling, and the Denver-Julesburg Basin in Colorado. It will increase the company’s proved reserves by about 18% compared with what it reported at the end of 2019. Buying Noble also enlarges Chevron’s footprint in the Eastern Mediterranean by adding the Leviathan gas field off the coast of Israel. Guiding portfolio companies through the Covid-19 pandemic is the biggest challenge facing private equity firms and service providers today. Firms throughout the middle market are focused now on helping portfolio companies make decisions about reopening their businesses, assessing the impact of the coronavirus on their businesses and forging a strategy on moving forward. For example, Boston-based Watermill worked with portfolio company Enbi to reimagine its business to make face shields. “They are a high-tech company with deep market knowhow that make rollers for printers,” says Julia Karol, president and COO of Watermill. “The company realized people who have to wear the face shields for long periods of time were getting deep welts on their foreheads. Enbi was able to make a high-grade compound that used foam across the front of the shields, so they are comfortable. Enbi will continue to make masks and explore other innovations. eBay Inc. is nearing an agreement to sell its classified advertising unit to Norwegian online marketplace Adevinta ASA for about $9 billion, according to Bloomberg News. eBay is selling the business in response to activist investors that want it to focus on its main online auction platform. The classifieds portfolio includes brands like Kijiji, commonly used in Canada and Italy, and Gumtree, a classifieds site popular in the U.K., Australia and South Africa. Thoma Bravo is buying insurance software company Majesco (Nasdaq: MJCO) for $594 million. “We see Majesco as a leader in helping its insurance customers get to the cloud faster, and modernize their internal and external facing systems,” says Thoma Bravo partner A.J. Rohde. Nomura Securities International, Sheppard, Mullin, Richter & Hampton LLP and Khaitan & Co. are advising Majesco. Kirkland & Ellis LLP is advising Thoma Bravo.
GHK Capital Partners LP has bought Hasa, a produce of water treatment products, from Peak Rock Capital. Baird and McDermott Will & Emery LLP advised the sellers.
Clearlake Capital and Francisco Partners-backed Perforce Software has acquired Methodics Inc., a provider of lifecycle management and traceability services for businesses.
Aquiline Capital Partners has closed its investment in Quintes Holding, one of the largest independent insurance brokers in the Netherlands.
Hunter Street Partners has invested in Ark Behavioral Health, an owner and operator of substance use disorder treatment facilities in the Northeastern U.S.
Ronak Patel has been promoted to partner at advisory firm Campbell Luytens.
Taylor Wilson has been promoted to managing partner at investment firm Haynes and Boone.
EQUALITY AND INCLUSION
A 2019 report from the Institute for Policy Studies shows that the median wealth for Black families in 2016 was $3,557—about 2% of the median wealth owned by white families, which owned nearly $147,000 in the same year. For banks to play a major role in closing the income gap between whites and Blacks, they’ll need to diversify their top leadership and middle-management ranks. New hiring and promotional policies could reshape banks’ understanding of local communities’ needs and expand who gets mortgages or small-business loans and which families build lasting wealth. Including more people of color in bank management would diversify the flow of capital, says Malia Lazu, the chief experience and culture officer at Berkshire Hills Bancorp in Boston. Ten private equity firms have pledged to each create and post five board seats to make them available to minority and women candidates, participating in an initiative to increase diversity on company boards of directors. Aurora Capital Partners, Clearlake Capital, Genstar Capital, Grain Management, Hellman & Friedman, Hg, Insight Partners, K1 Investment Management, TA Associates and Vista Equity Partners have committed to the board initiative announced by Diligent Corp., provider of company governance software and a portfolio company of Clearlake and Insight. Portfolia Rising America Fund “invests directly in early and growth-stage companies in the U.S. led by people of color and/or LGBTQ founders, or products and services that cater to these markets,” says investment partner Lorine Pendleton in a Q&A with Mergers & Acquisitions. “These are founders, ecosystems, products and services historically overlooked by traditional venture capitalists but positioned for significant growth and profitability.” The firm is led by five women of color. In addition to Pendleton, the firm’s leaders are: Noramay Cadena, co-founder and managing partner of MiLA Capital; Daphne Dufresne, a managing partner of GenNx 360 Capital Partners; Juliana Garaizar, an angel investor; and Karen Kerr, executive managing director at GE Ventures. “We believe that strength lies in differences and seek out entrepreneurs and startups who are using shifting demographics and their own diversity of experience and thought to create innovation that offers outsized opportunities for returns and impact.” The fund had its first close earlier in 2020 and has made two investments to date: The first investment is in MoCaFi, a fintech startup founded by Wole Coaxum, a former JPMorgan Chase commercial banking executive and entrepreneur, who is African American. “MoCaFi offers a mobile-first banking platform that brings digital banking products to underbanked or unbanked communities (an 88 million U.S. market), allowing them to build credit and financial mobility,” Pendleton explains. Economic activity has gained, but it hasn’t come close to pre-pandemic levels, according to the Federal Reserve’s Beige Book, released Wednesday. “Contacts in nearly every district noted difficulty in bringing back workers because of health and safety concerns, childcare needs, and generous unemployment insurance benefits,” the report said. As transactions previously delayed due to the pandemic begin to pick up, acquirors and investors in the middle market should evaluate the target’s performance during the unprecedented disruption presented by the pandemic, and adjust expectations for the immediate and medium term. What do you do when you’re a dealmaker under quarantine, and face-to-face meetings are out of the question?
